BMR Advisors cordially invite you to a workshop on Limited Liability Partnerships, on Monday, May 30, 2011 at The Oberoi, Bangalore   Limited Liability Partnerships – A paradigm shift The Limited Liability Partnership Act, 2008 was enacted in 2009 allowing for the setting up of Limited Liability Partnerships ('LLPs'). LLPs are a hybrid entity which combine the limited liability benefits of a company with the flexibility of a partnership firm. Since its inception, the LLP concept has attracted keen interest from several Indian groups who have either set up new LLPs or converted existing companies into LLPs, driven largely by the tax advantages that this format offers.   Foreign investment in LLPs was however restricted until recently. The Cabinet Committee on Economic Affairs ('CCEA') has now issued a press release approving a proposal to amend the exchange control regulations to permit Foreign Direct Investment ('FDI') in LLPs.   Notwithstanding that some of the tax advantages of LLPs were taken away in the recent budget, given the tax and regulatory construct of LLPs along with the opening up of foreign investments, LLPs present themselves as a powerful opportunity to structure businesses in India.   BMR's thought leadership initiative As part of BMR's commitment to thought leadership, we are arranging a workshop to brainstorm and deconstruct critical aspects involved in using LLPs as a form of business entity. The workshop will focus on aspects such as setting up of an LLP, converting an existing company into an LLP, key tax attributes of an LLP and will have a special focus on the recent FDI announcements for LLPs.
